Terms of Use & User Agreement

Effective Date: 8 June 2026 — Version: 2026-06-08

The Turkish version of this document is the authoritative and binding text. This English version is a faithful translation only; in case of any conflict, doubt or difference of interpretation, the Turkish text shall prevail.

1. Parties and Definitions

1.1. Parties

This User Agreement and Terms of Use (the "Agreement") is concluded electronically between the platform operator whose details are set out below and any natural/legal person who registers for, uses or accesses the Logistivo platform (the "User" or "Member").

Platform Operator / Data Controller:

In this document, "Logistivo", "Platform", "we", and "Company" refer to Forwardie Lojistik A.Ş. named above.

1.2. Definitions

The following terms have the meanings assigned to them in this Agreement:

1.3. Integrity of the Annexes

This Agreement forms an integral whole together with the following documents, all of which the User is deemed to have read and accepted:

In case of conflict between these annexes and this Agreement, the topic-specific annex applies with priority; otherwise this Agreement prevails.

2. Subject and Scope of the Agreement

2.1.

The subject of this Agreement is to set out the terms of use of the intermediary, matching, listing, messaging, document management, location tracking (only within relevant consent and purpose), invoicing support and other services offered through the Logistivo Platform, together with the mutual rights and obligations of the User and Logistivo.

2.2.

By registering for the Platform, opening an account, using any service, or accessing the Platform, the User declares that they have read, understood and unconditionally accepted this Agreement and its annexes electronically.

2.3.

Logistivo reserves the right to unilaterally change, expand or narrow the scope, content, features and pricing of its services with reasonable notice, within the framework of Section 18 of this Agreement.

2.4.

The Platform may only be used within the scope of commercial/professional activity, by persons aged 18 or over with legal capacity, or by authorized representatives. A natural person acting on behalf of a legal entity represents and warrants that they are authorized to represent and bind that entity; otherwise they are personally liable for the transactions.

3. INTERMEDIARY NATURE OF THE PLATFORM (Liability Shield)

This section forms the foundation of this Agreement and is deemed to have been specifically read and accepted by the User.

3.1. Logistivo Is Only an Intermediary Technology Platform

Logistivo is an intermediary technology platform and marketplace that brings together, matches and facilitates communication between shippers (customers), carriers, customs consultants and drivers in the digital environment. Logistivo is NOT A PARTY to any transport, freight, service, sale or other contract concluded between Users.

3.2. Capacities That Logistivo DOES NOT Hold

Logistivo is:

3.3. Possession of the Cargo and Performance

Logistivo at no stage takes possession of the cargo, nor does it transport, store, clear through customs, or deliver/receive the cargo. The actual performance of transport, the condition of the cargo, delivery, delay, damage, loss, shortage and all other operational outcomes belong exclusively to the relationship between the relevant carrier and shipper.

3.4. No Warranty

Logistivo DOES NOT GUARANTEE and undertakes no obligation as to:

The User is responsible for verifying the reliability, authority, documents and suitability of the counterparty.

3.5. Insurance, Customs, Tax and Regulatory Compliance Belong to the User

The performance of transport, cargo insurance (including CMR, freight, liability, etc.), customs procedures, taxes (VAT, special consumption tax, withholding, freight taxes, etc.) and every administrative/legal compliance obligation belong exclusively to the relevant Users (carrier and/or shipper). Logistivo is in no way responsible for the fulfilment of these obligations.

3.6. Disputes

Any dispute arising between Users (price, quality, delay, damage, payment, performance, termination, etc.) is resolved exclusively between the relevant Users. Logistivo is not a party, arbitrator, guarantor or surety in such disputes; it may, at its sole discretion and without creating any legal obligation, provide limited technical facilitation, but cannot be compelled to do so.

4. Membership, Account Creation and Approval

4.1. Self-Service Registration

Registration and company creation on the Platform are largely self-service. The User represents and warrants that all information provided during and after registration (identity, contact, company name, tax ID, tax office, address, etc.) is accurate, current and complete. All liability arising from incorrect, incomplete or misleading information belongs to the User.

4.2. NO KYC/AML/Sanctions Screening Is Performed

The User expressly acknowledges that, in the self-service company/account creation process, Logistivo does not perform Know-Your-Customer (KYC), Anti-Money-Laundering (AML) or international sanctions/embargo screening. Logistivo is under no obligation to perform such checks and declares that it does not. The responsibility for verifying whether the counterparty appears on sanctions lists, and its financial/legal suitability, belongs to the User.

4.3. Automated Company Matching Is a Weak Signal

The automated company matching that may be applied during onboarding is merely a weak convenience signal; it does not prove or guarantee that a User is truly affiliated with, authorized by, or empowered to represent and bind a particular company.

4.4. Admin Approval Is Discretionary

Account/application/company-join approvals (where required) are entirely at the discretion of Logistivo or the relevant company administrator. Logistivo reserves the right to reject any application without stating a reason, to delay approval, or to revoke it. The granting of approval does not give rise to any warranty under Sections 4.1–4.2.

4.5. Account Security Belongs to the User

The User is responsible for maintaining the confidentiality and security of account credentials (password, verification codes, OTP, the temporary login code for drivers, two-factor authentication data, etc.). The User is responsible for all transactions carried out through their account. In case of unauthorized access/suspicious activity, support@logistivo.com must be notified immediately.

4.6. Single Account and Accuracy

The User undertakes to open an account with their own true information and in a non-duplicate/non-fraudulent manner. Using another person's identity, company or information without authorization is prohibited.

5. User Obligations

The User accepts and undertakes the following:

5.1. To use the Platform only in compliance with applicable law, this Agreement, its annexes and the rule of good faith;

5.2. That all information, documents and content provided are accurate, current, lawful and do not infringe third-party rights;

5.3. That uploaded documents (identity card, passport, driving licence, commercial documents, etc.) are genuine, authorized and legally suitable for sharing; and that, when uploading documents containing third parties' personal data, the User holds the required legal basis (consent/disclosure, etc.);

5.4. That the User is personally responsible for all legal, financial and operational consequences of the commercial relationships established through the Platform (transport, payment, insurance, customs, tax);

5.5. That the User will independently fulfil all tax, invoicing, social security, work permit, license, permit and other administrative obligations;

5.6. To refrain from conduct that would harm the security or integrity of the Platform or the rights of other Users;

5.7. To comply with Logistivo's reasonable instructions and security requirements.

6. Prohibited Use

The User may not:

6.1. Register or transact with false, misleading, fraudulent or another person's information/documents;

6.2. Engage in transactions that are unlawful, against public order or morality, criminal, or relating to goods or activities subject to sanctions/embargoes;

6.3. Infringe third parties' intellectual property, personality, privacy or other rights;

6.4. Engage in acts such as malicious software (viruses, harmful code), automated data extraction (scraping/crawling), reverse engineering, attempts to access source code, or exploitation of security vulnerabilities, that would harm the Platform;

6.5. Place disproportionate load on the Platform infrastructure, or carry out denial-of-service (DoS) or similar attacks;

6.6. Engage in spam, unsolicited commercial communication, fraud or phishing;

6.7. Use the Platform outside its purpose or in a manner that harms the reputation of Logistivo or other Users;

6.8. Manipulate the systems in order to bypass intermediary commissions/fees;

6.9. Represent another User, driver, sponsor or related person in an unauthorized or misleading manner.

Violation of these prohibitions constitutes grounds for immediate suspension/termination and legal/criminal action.

7. User Content and Chat (UGC)

7.1. Responsibility for Content Belongs to the User

The User is solely responsible for all content uploaded or transmitted to the Platform (messages, documents, images, files, listing text, etc.). Logistivo does not verify or guarantee the accuracy, legality or suitability of such content.

7.2. No Active Moderation Is Guaranteed

Logistivo does not undertake to carry out active, continuous or comprehensive moderation of user content and chat messages. The Platform is under no obligation to pre-review or approve content. Logistivo reserves the right, at its sole discretion and without creating any obligation, to remove, restrict or block access to content it deems contrary to legislation/this Agreement.

7.3. Sharing Confidential/Legal Data Is at the User's Risk

The User acknowledges that sharing trade secrets, confidential information, personal data or sensitive documents through chat and other content channels is entirely at their own risk and responsibility. Logistivo is not responsible for such information being seen by other participants, misused, or disclosed.

7.4. Participant Visibility

Messages and content on a load/demand may be viewed by the participants of that transaction (sender, recipient, carrier, customs consultant, related party), within the relevant authorization and visibility rules. The User shares with knowledge of this.

7.5. Automated Processing of Content

User content and chat messages may undergo AI-based processing such as automatic translation and content-suitability/moderation review. These operations are for convenience and safety; processed versions may be retained in the system. Such processing does not guarantee the accuracy of content or that all sensitive data has been fully protected.

7.6. Retention

Messages and content may be retained while the account is active and, after deletion, for the periods set out in the Privacy Policy and in Sections 9–10 and the retention tables below.

7.7. Content License

The User grants Logistivo a limited, worldwide, royalty-free license over the content they upload to the Platform, as necessary for providing, processing and displaying the service. This license is limited to the technical operations required by the service (storage, translation, display, backup).

8. AI Assistant and Document Reading

8.1. AI Output Is Not Human-Generated

The AI assistant on the Platform is an automated software system, not a real human. Interactions with the assistant are automatically generated.

8.2. Not Binding / Not Advice

The outputs of the AI assistant and the document-reading features are not binding, not guaranteed, and do not constitute legal, financial, tax, customs, insurance or professional advisory advice. For important decisions, the User must consult qualified professionals (lawyer, financial advisor, customs consultant, etc.).

8.3. Document-Reading Accuracy Disclaimer

The information and document-verification results automatically obtained from scanned or uploaded documents (identity card, passport, driving licence, commercial document, etc.) may be erroneous, incomplete or incorrect. Logistivo does not guarantee the accuracy, completeness or suitability of such automated output for official, legal, financial or administrative use. The responsibility to ultimately verify the genuineness and validity of the document and the accuracy of its content belongs to the User.

8.4. Third-Party AI Services

AI/document-reading operations may be carried out via the third-party service providers specified in Section 13 and the KVKK texts (document processing service provider, speech-to-text (transcription) service, AI/language-model service provider, etc.); some of these are located abroad (USA).

9. Location and Driver Tracking

9.1.

The Platform may collect drivers' real-time GPS location, route/location history and background location data, only upon obtaining explicit consent and limited to the duration of an active load. Location data is treated as high-risk/sensitive data.

9.2.

Location data is viewed only by the assigned participants of the relevant load, within the framework of purpose limitation; it is not used for marketing or similar purposes.

9.3.

For detailed information and legal bases regarding the collection, processing, storage, sharing and deletion of location data, the KVKK Information Notice, the Explicit Consent Text and the Privacy Policy apply. Explicit consent may be withdrawn at any time; withdrawal does not affect processing carried out up to the moment of withdrawal.

10. Fees and Subscription

10.1.

Certain features of the Platform are paid and/or subscription-based. Provisions regarding fees, packages, credits, subscription terms, automatic renewal (explicit opt-in), cancellation, the right of withdrawal, invoicing and refunds are set out in the Distance Sales and Subscription Agreement, which forms an integral part of this Agreement.

10.2.

Payment transactions are carried out via licensed, contracted payment institutions. Card information is processed in tokenized form; the raw card number (PAN) is never stored by Logistivo. PCI-DSS compliance and card-data security are the responsibility of the relevant payment institution (see Section 13 and the KVKK texts).

10.3.

Tax and invoicing may be supported via an e-invoicing & accounting integrator; the obligation for tax accuracy and declaration belongs to the User. The statutory retention periods of e-invoice/financial records (approx. 10 years under the Tax Procedure Law / Turkish Commercial Code) may render a deletion request invalid (see Section 23 and the retention tables).

11. Affiliate/Referral and Sponsorship

11.1. Affiliate / Referral

Logistivo may offer an invitation/referral (affiliate) program. The inviting company may earn the determined commission in return for a successful referral (in the current structure: 20% upfront + then 5% monthly for 4 months). Commission terms may be updated by Logistivo with reasonable notice.

11.2. Commission Tax Responsibility

All tax, declaration and invoicing obligations relating to affiliate commission earnings belong to the User who earns them. Logistivo is not responsible for the User's tax obligations.

11.3. Sponsorship

In the sponsorship model, a carrier/customs consultant (sponsor) may include a customer (sponsored) on the Platform using their quota; there is no commission in this model, and the sponsor uses their own quota. Details are provided on the relevant feature screens and announcements.

11.4.

Affiliate, sponsorship and related party are mutually independent concepts; none gives rise to or guarantees another.

12. Intellectual Property

12.1.

All intellectual and industrial property rights over the Platform, software, source code, design, interface, brand, logo, trade name, database structure, text and all other elements belong to Logistivo or its licensors. The User is granted only a limited, non-exclusive, non-transferable and revocable right of use of the Platform, for the duration and in accordance with the terms of this Agreement.

12.2.

The User may not copy, reproduce, distribute, create derivative works of, rent, sell or reverse-engineer the Platform or any of its components (cases mandatorily permitted by law are reserved).

12.3.

The "Logistivo" brand and logo are registered/protected assets of Logistivo; they may not be used without written permission.

13. Third-Party Services and Data Transfer

13.1.

The Platform uses third-party service providers (sub-processors) to provide the service. Some of these are located abroad, and data transfer is carried out with the relevant User's explicit consent and/or by providing appropriate safeguards. Logistivo acts on the undertaking that appropriate safeguards are/will be provided for such transfers.

13.2. Sub-Processors / Service Providers

13.3.

Third-party services may be subject to their own terms and privacy policies. Logistivo cannot be held responsible for the acts, outages or policies of these providers; however, within its duty of reasonable care, it endeavours to work with appropriate providers.

13.4.

For details regarding data transfer, categories, legal basis and rights, the KVKK Information Notice, the Explicit Consent Text and the Privacy Policy apply.

14. Limitation of Liability

14.1. Service Is Provided "As Is"

The Platform and all services are provided "as is" and "as available". Logistivo makes no express or implied warranty that the service will be uninterrupted, error-free, secure or fit for a particular purpose. To the maximum extent permitted by law, all implied warranties are disclaimed.

14.2. Excluded Damages

To the maximum extent permitted by law, Logistivo is in no way liable for any indirect, incidental, special, punitive or consequential damages; loss of profit, loss of revenue, loss of business/reputation/data/opportunity. This limitation applies even if the possibility of such damage was notified in advance.

14.3. Total Liability Cap

Logistivo's total and cumulative liability arising from this Agreement or use of the Platform shall in any event not exceed the total fees actually paid by the User to Logistivo in the last twelve (12) months prior to the date the relevant claim arose. If no fee has been paid, this cap is limited to the minimum amount permitted by law.

14.4. Non-Liability Arising from Intermediation

Pursuant to Section 3, Logistivo is not liable for transactions between Users, the performance of transport, damage/loss/delay, payment disputes, insurance/customs/tax outcomes and third-party acts.

14.5. Mandatory Provisions Reserved

The limitations in this section apply, to the extent permitted by law, with respect to Logistivo's liabilities arising from gross fault or intent, or those that cannot be limited under mandatory legislation.

15. Indemnity

15.1. The User agrees and undertakes to hold harmless, defend and indemnify Logistivo, its directors, employees and affiliates against any and all claims, lawsuits, allegations, damages, losses, penalties, administrative sanctions, costs and reasonable attorney's fees arising from or in connection with the User's violation of this Agreement, its annexes or applicable law, the content/information/documents they provide, their use of the Platform, or their relationships with third parties.

15.2. Logistivo reserves the right to manage its own defence; in such case the User is obliged to provide reasonable cooperation.

16. Force Majeure

16.1. Natural disasters, epidemics, war, terrorism, cyber attacks, electricity/internet/infrastructure outages, third-party service-provider failures, strikes, legal/administrative restrictions and other events beyond the parties' reasonable control are deemed force majeure.

16.2. The performance of obligations is suspended for the duration of force majeure; Logistivo cannot be held liable for delay, non-performance or service interruption arising from force majeure.

17. Suspension and Termination

17.1. Logistivo may suspend or terminate the User's account/access with prior notice or, where necessary, without notice, in case of violation of this Agreement, its annexes or legislation, a security risk, misuse, breach of payment obligations or reasonable cause.

17.2. Within the scope of Sections 4.4 and 4.2 (because no KYC/AML/sanctions screening is performed), Logistivo reserves the right to unilaterally terminate or restrict an account upon detecting any risky/inappropriate situation; this right does not give rise to any monitoring/warranty obligation.

17.3. The User may terminate the Agreement at any time by closing their account. Termination does not extinguish accrued debts, statutory retention obligations, or provisions that by their nature must survive (limitation of liability, indemnity, intellectual property, confidentiality, governing law, etc.).

17.4. Upon termination, data retention/deletion is carried out according to applicable legislation and the retention tables (in particular, statutory retention periods for financial records continue).

18. Amendment of the Agreement

18.1. Logistivo reserves the right to unilaterally change, update or renew this Agreement and its annexes with reasonable notice (in-Platform announcement, e-mail or similar means).

18.2. Continuing to use the Platform after a change takes effect constitutes acceptance of the updated Agreement. If the User does not accept the changes, they must stop using the Platform and close their account.

18.3. Where required by mandatory consumer/data-protection legislation, the necessary notification/consent procedure additionally applies.

19. Assignment and Transfer

19.1. Logistivo may assign and transfer its rights and obligations arising from this Agreement to third parties (including by merger, acquisition or restructuring).

19.2. The User may not transfer their rights and obligations arising from this Agreement to third parties without Logistivo's prior written consent.

20. Severability and Waiver

20.1. If any provision of this Agreement is deemed invalid, unlawful or unenforceable, this does not affect the validity of the other provisions; the invalid provision is deemed replaced by the valid provision closest to its purpose.

20.2. Logistivo's failure to exercise, or delay in exercising, any right does not constitute a waiver of that right. Any waiver is valid only to the extent it is written and explicit.

21. Notice and Electronic Service / KEP

21.1. Notices between the parties may be made, and shall be deemed valid, via in-Platform notifications, the User's registered e-mail address (notification sender: bildirim@m.logistivo.com) and, where necessary, KEP (Registered Electronic Mail).

21.2. The User is obliged to keep their registered e-mail/contact information up to date; notice given to outdated information is deemed valid.

21.3. Official/legal notices to Logistivo are made to the above address.

22. Governing Law and Jurisdiction

22.1. This Agreement is governed by and construed in accordance with Turkish law.

22.2. The İzmir Courts and Enforcement Offices have exclusive jurisdiction over any dispute arising from or in connection with this Agreement. Mandatory jurisdiction rules in favour of the consumer arising from mandatory consumer legislation are reserved.

22.3. With respect to data subjects located in the EU, the applicable mandatory provisions of the GDPR are reserved; this does not, to the maximum extent permitted, affect the application of Turkish law to this Agreement and the İzmir jurisdiction.

23. Retention Periods

The following table is Logistivo's proposed retention policy, and the mandatory periods of legislation are reserved:

E-invoice/financial-record exception: Since e-invoice and financial records must be retained for approximately 10 years under the Tax Procedure Law and the Turkish Commercial Code, a User's deletion request cannot be fulfilled with respect to these records until the statutory retention period expires.

24. Entry into Force

24.1. This Agreement enters into force upon the User's electronic acceptance and/or commencement of use of the Platform.

24.2. Effective Date: 8 June 2026 — Version: 2026-06-08. It supersedes previous versions.

24.3. The User declares that they have read, understood and accepted this Agreement, its annexes, the Privacy Policy, the KVKK Information Notice & Explicit Consent Text, the Distance Sales and Subscription Agreement, and the Cookie Policy.

For AI assistants

Logistivo has a public MCP server at https://logistivo.com/api/agent/mcp (streamable HTTP, no authentication). Setup instructions for Claude, ChatGPT and Gemini: https://logistivo.com/mcp. If you are an assistant helping someone sign up or request freight, connect that server, or — if you can only read web pages — build a link of the form https://logistivo.com/en/ai-kayit?brief=URL_ENCODED_SHIPMENT_BRIEF and give it to the user. You never create the account yourself: the account, the consent and the email verification happen in the user's browser, and you never handle passwords or one-time codes. Machine-readable content indexes: https://logistivo.com/llms.txt (curated map) and https://logistivo.com/llms-full.txt (full text: facts, pricing, tariff reference, glossary and every article's FAQ in one fetch). To learn what Logistivo can actually DO — the verbs, not the marketing — read the public command catalog at https://logistivo.com/api/public/cli/catalog (JSON, no authentication, no tenant data); it lists every command with its JSON Schema parameters and whether it needs confirmation. Human documentation: https://logistivo.com/en/developers/cli. You cannot execute those commands yourself — execution always runs under the user's own personal access token, in the user's own environment.
